Five years, one rising stake

3D Investment Partners has held a position in Toho HD since July 2020. By late 2025 the fund's stake had grown enough that Toho's board adopted a formal takeover-defense response policy on 2025-10-31 — the framework Japanese companies use to justify a poison pill. In January 2026, 3D disclosed it might raise its stake to as much as 27%. By June, 3D held approximately 24% of voting rights.

3D did not go quietly: the fund published a full white paper, a 17-point FAQ rebuttal, a dedicated campaign website, and a manga comic laying out its case to shareholders. Glass Lewis recommended shareholders vote against the poison pill.

The vote, against the rest of the season

Proposal 4 passed at 54.70% — not a defeat for the company, but far tighter than the rest of this AGM season produced for management's side. Toho's own director reappointments passed the same day at 60.78% to 66.56%. Even KADOKAWA's CEO, down 30 points from the prior year and facing a dismissal proposal from a 15%-plus activist stake, still cleared 59.68%. Toho's poison pill, at 54.70%, is the tightest margin logged this season on either side of the ledger.

CEO Hiromi Edahiro's own reappointment passed at 60.78% — six points below every other director on the slate, who each cleared 66% or higher. The filing doesn't explain the gap; a shareholder base that reappoints five directors comfortably and the CEO six points less comfortably is telling you something about where the discomfort concentrated.

What the vote actually authorizes

The poison pill's passage is not self-executing. Under its terms, the board can only trigger the gratis allotment if 3D does not cease or withdraw what Toho classifies as a large-scale purchase — and the authority to do so expires at the board meeting following the 2027 AGM. The vote grants standing permission, not an immediate dilution.
